1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

By enquiring about, enrolling in, or using the Coterra membership Service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

You must be at least 18 years of age and legally capable of entering a binding agreement under Malaysian law to use our Service. If you are under 18, you may not use the Service.

3. Service Description

Coterra provides a general financial education community membership. The Service includes access to online discussion spaces, a shared resource library, community events, and (depending on membership tier) monthly live sessions, peer-learning circles, and a certificate of attendance.

The Service is available to members in Malaysia and, subject to technical access, internationally. Coterra reserves the right to modify the scope of the Service with reasonable notice to members.

Important: Coterra is a general financial education community. We do not provide financial advice, investment guidance, insurance recommendations, tax advice, or any regulated financial service. All content is provided for informational and educational purposes only. You should consult appropriately qualified professionals for any decisions specific to your personal circumstances.

4. Membership and Account

Membership commences upon confirmation of enrolment and receipt of the applicable annual fee. You are responsible for keeping your contact details up to date and for maintaining the confidentiality of any account credentials.

Memberships are for individual use only and may not be shared, transferred, or assigned to another person without Coterra's prior written consent.

5. Member Responsibilities

As a member, you agree to:

Coterra reserves the right to remove content or suspend and terminate memberships where these responsibilities are not observed, at its reasonable discretion.

6. Intellectual Property

All content, materials, worksheets, guides, branding, and other intellectual property made available through the Service remain the property of Coterra or its content contributors. You are granted a limited, non-exclusive, non-transferable licence to access and use this content for your own personal educational purposes during the period of your active membership.

You may not reproduce, distribute, sell, or create derivative works from any Coterra content without prior written authorisation. Content shared by members in community discussions remains the responsibility of the member who posted it; Coterra does not claim ownership of member-generated contributions.

7. Membership Fees and Payment

Annual membership fees are as follows (in Malaysian Ringgit):

Fees are payable in full upon enrolment. Accepted payment methods will be confirmed during the onboarding process. All fees are quoted inclusive of applicable taxes unless otherwise stated.

7.1 Refund Policy

If you are dissatisfied with your membership within the first 14 days of commencement, please contact us at [email protected] to discuss your situation. Refund requests are reviewed on a case-by-case basis. After 14 days, membership fees are generally non-refundable, except where required by applicable law.

7.2 Renewals

Memberships are annual and do not renew automatically. We will contact you in advance of your membership expiry date with renewal options. There is no obligation to renew.

8. Membership-Specific Terms

8.1 Circle Placement

Peer-learning circle placement is managed by the Coterra team and is subject to availability. While we endeavour to place members in circles aligned with their stated interests, we cannot guarantee placement in a specific group or with specific individuals. Patron members receive priority placement.

8.2 Live Sessions

Monthly live sessions are made available to Plus and Patron members. Session schedules are published in advance. Recordings are provided to members who cannot attend live. Coterra reserves the right to reschedule or cancel sessions with reasonable prior notice; in the event of cancellation, the session will be rescheduled at the earliest opportunity.

8.3 Certificate of Attendance

Certificates of attendance are issued to Patron members who complete a structured learning track within their membership year. The certificate confirms participation and completion of the learning track; it does not constitute a professional qualification or regulated credential of any kind.

9. Disclaimers

The Service is provided on an "as available" basis. While we endeavour to maintain continuous access, we do not warrant that the Service will be uninterrupted, error-free, or free from technical issues.

All content provided through the Service is for general informational and educational purposes only. Coterra does not make any representation or warranty that any particular outcome will result from engaging with community content. Members should exercise their own judgement and seek professional advice for decisions affecting their personal finances.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, Coterra shall not be liable for any indirect, incidental, special, or consequential losses arising from use of or inability to use the Service, including losses arising from reliance on any content shared within the community.

Coterra's total liability to any member shall not exceed the annual membership fee paid by that member in the relevant membership year.

11. Indemnification

You agree to indemnify and hold harmless Coterra and its team from any claims, damages, or expenses (including reasonable legal costs) arising from your breach of these Terms, your use of the Service in a manner inconsistent with these Terms, or your violation of any applicable law.

12. Termination

Either party may terminate the membership at any time. If you wish to end your membership before expiry, please contact us at [email protected]. Refunds for early termination are subject to Section 7.1.

Coterra may terminate or suspend your membership immediately if you materially breach these Terms, particularly in relation to Section 5. In cases of serious misconduct, no refund will be offered.

Upon termination, your access to the Service will cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. In the event of any dispute arising from these Terms or your membership, the parties agree to first attempt informal resolution by contacting us at [email protected]. If the dispute cannot be resolved informally within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

We may update these Terms from time to time. Where changes are material, we will notify active members by email at least 14 days before the changes take effect. The updated Terms will also be published on this page with a revised "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
